Agreement Informational Review
There are a great number of documents to review and analyze when your company considers the purchase of a new property for your portfolio. A review of any existing service provider agreements for the property should be included in this review process. With the many forms of service agreements from the different service providers, it can sometimes be difficult to know and understand what existing arrangements may encumber a given property. At Multifamily Broadband, we are familiar with the service agreement formats which are in place with properties today. This includes Access Agreement, Right-of Entry Agreements (ROE), Exclusive and Non-Exclusive Marketing Agreements and Bulk Agreements. From a non-legal informational perspective, we will assist and review any existing agreements, and will coordinate review with your legal counsel, so that you will ultimately have a better understanding of what service provider agreements may encumber in a given property, as well as moving-forward service agreement objectives after purchase closing.
Strategic Planning
Multifamily Broadband collects and reviews each telecom agreement within a client portfolio and maintains copies of current agreements, summary of deal points, expiration dates and renewals dates. With this information, we can then group properties as “packages” to present to the service providers in the geographic areas where the respective properties are located. Depending on the agreement financial terms and expiration dates, we will then divide the properties into those that we will work on initially, and those which will be renegotiated at a future date. We will then move forward with client permission to negotiate the initial group. We will also track the future expiration date properties for our client, commencing negotiation discussions when the expiration windows opens. Generally speaking, agreement negotiations can commence 12-18 months prior to agreement expirations, depending on the service provider. This provides an opportunity for the property owner to be able to evaluate fair and equitable agreement options before agreement expiration.
Needs Assessment & Proposal Request Process
After the initial property group is identified, Multifamily Broadband will commence with the proposal request process upon owner approval. This will begin with our company requesting a technical site survey to determine the type and condition of the wiring system that currently exists at a given property. Once this is completed by the service provider, we will evaluate the results to determine what upgrades may be necessary. Thereafter, we will work through the proposal negotiation process, taking into consideration any maintenance, repairs or wiring replacement necessary as the result of the technical site survey. We will also confirm which service Providers have declined or cannot offer a proposal.
Business Case Analysis
As part of the business case review process, with non-bulk marketing agreements, we will provide a financial model analysis of the deal points, using the estimated revenue-per-subscriber and projected subscriber penetration over the term of the agreement. Added to this will be any negotiated up-front “Door Fees”, minus our contingency fees. As a result, our client owner will be able to more closely determine the Gross and Net projected value of each proposal arrangement negotiated for a given property. In addition to the financials, we will provide a proposal review narrative, that not only provides the details taking our client through the proposed arrangements, but also a “Bottom Line” summary. In the case of Bulk agreements, we will provide the calculations for any upfront Door Fees, as well as the calculated Bulk service costs. With this information our client owners are able to make informed decisions with regard to their property agreement arrangements.
Agreement Process
Multifamily Broadband facilitates the agreement negotiation process in conjunction with the client’s legal counsel. We will work to ensure that the proposal deal points and financials are included in the agreement draft. Once an agreement has been approved by the owner’s legal counsel and executed by a property owner at their sole discretion in conjunction with a given service provider, that agreement can generally be used as a terms and conditions “template” for future agreements for the property owner.
Infrastructure & Equipment Upgrade Implantation
With new technologies delivering not only Video, but managed WIFI and Internet speeds of 1Gig+ via GPON, EPON, RFoG, DOCSIS 3.1 DOCSIS 4.0 and G.fast, evaluating and selecting the right technology and service provider becomes increasingly important. Included in conjunction with some agreements may be wiring repairs or wiring/fiber system replacement. In the case of Bulk agreements, there will also be resident equipment distribution and installations. Agreement Implementation and Compensation Payment to Property Owners
Once an agreement is signed with a service provider, it needs to then be implemented. This includes obtaining a countersigned agreement copy for the property owner, and also compensation commencement. Since MultifamilyBroadband fees are generally contingency based, we don’t get paid until our clients get paid. As such, our clients are confident that we will successfully work through the process of the initial upfront Door Fee payment, as well as the commencement of on-going Revenue-Sharing commissions, both of which will be paid directly to the property owner. After the property owner is paid by the service provider, we will then invoice our client accordingly.
Assignment & Assumption On Purchase & On Disposition Property Sale
Property owners purchase and sell portfolio properties as opportunities arise. With that said, there are typically service agreements that need to be the assigned and assumed upon property purchase and sale. As the new owner, you may want to (or may be required to) assume an existing service agreement, so that your property's ownership entity will receive any moving forward on-going revenue-sharing payments included under the existing service agreement. As the seller, you will likely want to have the purchaser assume the service agreements (or the buyer may be required to), so that your selling entity will no longer be responsible for the obligations under the property service agreement after the sale closing date. Each service provider has a different assignment and assumption process, some of which can be quite cumbersome. MultifamilyBroadband will assist with the processes necessary to facilitate these necessary assignment and assumption arrangements.
